在下文统一称“代表方”为“当事人双方”
鉴于:
1. S.C. 居民区中央公园DOI S.A.公园;罗马尼亚法人的总部位于布加勒斯特,13A, Sos,斯蒂芬cel Mare,第二楼,第2办公室,第二区;商业登记编号为:J40/1212/2006,财政登记编号为:RO18884163,以受益人的身份, 在布加勒斯特第1区,22A Expozitiei Blvd,计划施工(工程)总面积为4,040 平方米。(在下文称为“土地”),根据附件1的详述特性,由多功能的饭店和居住公寓大楼组成(“大楼”);命名为NIRO塔;
2.北京城建工程有限公司和NIRO S.A. 任命为工程总承包人,有权利以其名义签订合同;
3.顾问必须拥有必要的物流、专业技术和富有资历的员工为客户提供服务;实现下列领域的工程设计概念):建筑、结构、防护和通用装置(卫生、供暖、空调、电路和低电流);外观改进、交通规划(停车场,胡同,进入通道)、竖向规划和内部系统的协调;以实现在整个施工期间的技术咨询服务;有关的处罚条例按照第III章的规定执行;
4.工程的建设授权;基本设计(“基本设计”);详细设计(“详细设计”);根据罗马尼亚法律要求,全部的建筑工程必须由一名按照罗马尼亚立法授权的建筑的工程设计者执行(”罗马尼亚设计者”),由客户任命;
本设计和咨询服务合同(下文称为“合同”)包括下列条款:
一、合同目的
条款1.根据合同中客户的要求和合同价格,根据本合同条款,客户要求顾问提供的服务为:
1)按照附录1中的要求,大楼设计概念的总面积为29,500平方米,由饭店和居住公寓组成,包括地下室、底层和楼层、停车场和技术区域。(设计主题:符合附件1说明中的特性,提供最佳的地下室和楼层的数量;使大楼表面的使用土地最大化;并包括下列范围:建筑、 结构、防护、通用装置(卫生、供暖、空调、电路、低电流),外观改进、 交通设计(停车场、胡同、进入通道)、竖向规划和内部系统的协调;为客户准备和向客户递交与工程概念阶段有关的文档,文件由以下部分组成,但不限于:书面文件和示意图。工程的一般特性必须在项目组成部分(“工程概念”)中分别说明项目功能和技术之间的关系:
1.书面文件 –工程综述;
2.示意图 –常规方案;
-建筑规划;
3.工程的复制品(比例1:200)
符合合同附录2的描述。
2)在整个设计阶段期间,现代大楼解决方案、技术、材料和设备的选择和实施过程中的推荐、提议和帮助,包括但不限于:建筑、 结构、防护、通用装置(卫生、供暖、空调、电路、小电流),外观改进、 交通设计(停车场、胡同、进入通道)。建议的提出如总大楼工程的实施和执行费用的最佳方案;顾问建议采用的材料和设备必须通过验证,或者可能在欧盟市场经过批准 (饭店部分:建议履行国际4/5星级饭店标准)。
3) 在整个设计期间与罗马尼亚设计者合作,包括但是不限于:建造允许阶段和执行阶段(细节设计阶段);
4)监督罗马尼亚设计者对服务的执行是否符合服从设计主题,并且保证现代建设解决方案和技术、材料和设备的使用到位;
5)工程整个实施和运行期间的技术帮助和咨询服务;到大楼协议终止,主要指:
(1)将整个工程概念、以及基本设计和详细设计翻译成汉语;使工程和大楼安装的中方人员和/或者订约人能按照程序和任务执行。根据客户要求,要求只翻译中方人员执行的目标作业和/或者中华人民共和国进口的材料的供应描述的作业工程概念、工程技术和实行细节。
(2)根据工程概念、基本设计和详细设计为中方订约人的施工作业提供方便;
(3)现场监控施工作业的执行,通过提名的代表执行:
A和罗马尼亚设计者一起,证实施工作业对工程概念、基本设计、详细设计、绘图报告的执行情况;
B和罗马尼亚设计者一起,根据客户同意的时间表和草案报告,证实施工作业的执行情况;
4)和保持罗马尼亚顾问、设计者和订约人之间客户永久接触,一方面和中方订约人, 另一方面,对北京城建工程和NIRO S.A提供支持;
5) 和罗马尼亚设计者一起,对工程施工和重要阶段的计划期间进行监控,制定质量验收协议的时限;
6)上述监督指令活动除外,根据客户的要求,按照施工质量报告里的设计概念、基本设计和详细设计工作的信息,定期对对工地进行验收。尽管如此,应客户的要求,事先的通知顾问和罗马尼亚设计者参加工地的验收。
条款2. 按照顾问对提供服务的要求,合同将分为3 个阶段执行:
1.第1 阶段-工程概念的起草和交付;第1 阶段为客户提交的所有材料;顾问必须在2008年8月1日前,交付全部文档;
2.第2 阶段-按照客户事先的书面文件,在设计阶段完成现代大楼解决方案、技术、材料和设备的执行;在这个阶段,顾问将把全部技术文档递交给客户;
3.第3 阶段-监督现场工程实施和工作业绩;严格确保按照工程概念、基本设计和详细设计施工。在这方面;(i)顾问必须与罗马尼亚设计者一起协作,因为后者对授权的工程进行了起草、基本设计和详细设计;(ii)翻译并将资料立即交付给需要使用的中方人员和订约人;(iii)对中方人员和客户任命的其它订约人提供永久帮助;(iv) 罗马尼亚设计者一起,监督现场的全部施工作业并且起草执行报告。
二、 交付
条款3-顾问把按照附录2的描述起草资料和信息进行起草并且交付给客户:
-书面文件:由大楼的建筑和结构描述文件组成,并提供安装概念;
-示意图:包括每个楼层、剖面、建筑物正面和透视图(包括所有边)设计图。
条款4-全部材料必须按照提交协议,使用英语和公制(S.I.)递交给客户和罗马尼亚设计者。要求提供复印件和电子版 (*.dwg);递交时间不迟于2008年8月1日。在20公历日内,签署递交协议;自签署协议的日期起,顾问和客户必须告知收到资料;客户有权发行其意见、报告或者修正案。
条款5-交付完成:第1 阶段结束时,客户完全接受顾问提交的全部提议。
三. 合同价值和支付方法
条款6-根据当前的合同和附录提供的服务结构的规定,合同价值如下:
A.工程概念:包括使用材料、设备、技术解决方案和技术的最初建议:支付170,128欧元:
-在合同的签定后,最多5个工作日支付30%;
-在工程概念的全部文档交付后的5个工作日内支付30%;
-在顾问提出对授权的罗马尼亚设计者出具的基本设计文档的书面结论后的5个工作日内支付20%;
-从顾问提出对授权的罗马尼亚设计者所出具的详细的设计文档编制的书面结论的5个工作日内的10%;
-施工正式验收日期的5个工作日内支付10%,此期间保证提供服务的质量;
B将基本设计和细节设计文件翻译成汉语,并立即提交给中方人员和/或订约人进行使用和确认;包括使用材料的详细建议、设备、技术解决方案和技术:149.801欧元,包括下列专业结构:
-基础和基础设施数量的10%
-上层建筑数量的30%
-建筑数量的30%
-安装在之外的金额,指44,940欧元中的30%:
-40%电路
-20%的水/排水工程
-15%的供暖
-25%的通风
提供服务的到期应付金额,按照条款1(i)的规定,从收到发票之日起,在最多5个工作日内进行支付。
C参观现场技术帮助、验收和情况报告,和罗马尼亚设计公司,使用罗马尼亚语,按每人每日付费:
-工程主管554欧元/天/人
-专家设计者每人512欧元/日
-设计者498欧元/天/人
上述数量为目前合同整个期间的报盘;
上述金额为全部费用,包括在访问期间往返旅行运输、住宿、就餐、通讯和提供的服务的各自费用。
参观按照客户的书面指令进行;人数和加入机构的数量为上述种类之一;
适当数量的计算:对于在上述罗马尼亚访问的专家来说,在到达罗马尼亚之后直到离开罗马尼亚的日期,包括。
应付金额将从收到发票后,在最多5个工作日内进行支付。
条款7-顾问提供服务的全部费用将按照顾问所出具的财政的发票,用欧元支付。 直到发票的支付到期,顾问提交一份住所的财政证明书给客户;如果顾问没有提交证明书给客户;如上所述,根据罗马尼亚财政法律的规定,客户将从顾问的支付款中,扣除并且扣留法律税款。
四、当事人义务
条款8-顾问义务:
A按照约定进行设计工作和咨询服务;
B对客户和对罗马尼亚设计者提交起草的文档,并且对任何认定的不符和不一致的情况进行补救,如果不符和不一致的情况发生的5天内;必须进行通知,客户请求进行的修改,最多在5天内解决,如果上述的请求并非实质性要求。
C评论和改正:根据工业最新技术和最新知识,在一个合理的时期内,可以将罗马尼亚设计者草案中所有的规划、图纸和材料提交给客户进行监督;
D在设计阶段期间,将全部材料和/或者设备的资料提交给客户和罗马尼亚设计者(包括但不限于原产证明书、合格证和质量、技术数据等)寻求建议;
E根据附录3的要求,由布加勒斯特代表提名,对施工种类执行现场施工作业的跟踪,并在实际施工和工程概念、基本设计和详细设计之间,通知客户任何潜在的施工错误或者差别;
F保持永久接触,为罗马尼亚设计者和客户任命的订约人,在整个施工作业期间,提供技术解决方案;
G与罗马尼亚设计者一起,按照客户要求,参加阶段评审,并签署起草的资料;并且
H提供客户任命的其它顾问的、设计者或者订约人发布的支持。
条款9-客户义务:
A提供顾问要求的起草主题和工程概念的信息;任何递交顾问与设计主题有关的信息的延迟,将导致交货的延迟;
B根据上述的支付时间表支付合同价格,对按时执行承担的义务的顾问,具有事先约束力的和强制性条件;
C对于中断和提供全部支持,减轻顾问与其它方的合作,一方面,同罗马尼亚设计者和订约人,另一方面;
D允许顾问代表进入施工场地进行测量和各种各样的专业检查;并且
E协助顾问通过正式渠道获得罗马尼亚的入口签证。
五、合同责任
条款10-顾问负责按照合同条件,编制和交付到期文档。根据合同条款,如果顾问在适当时候没有交付资料和解决方案,必须每天对客户支付预付款0.03%。
如果顾问履行全部义务,客户将每天支付超出金额的0.03%,防止待收发票/发票的支付期延迟;
条款11-顾问对提议的技术解决方案的质量和可行性负责。
条款12-双方完全有责任,对没有履行本合同的义务另一方,由于不恰当的执行引起的损害进行处罚。
六、合同终止
条款13-合同可以以下列任何方式终止:
A双方协议;
B任何一方的破产、清盘或者清算;
C不可抗力持续30公历日,任何一方免除本合同规定的义务;
D任何一方完成全部合同日期的履行;或者
E受影响的任何一方请求通过提前终止,如下面的第14 和15条规定的条件。
条款14-如果顾问不能完成本合同的任何义务,客户可以寄送一份通知给顾问,在没有延迟的通知、法庭介入或者任何其它事先的程序的情况下,认定合同终止。(第4 级分解条款)。
条款15-顾问在适当时候已经执行合同的全部义务,如果客户按照上述第6条在连续45公历日履行任何支付义务。合同可应顾问的要求终止。
条款16-合同终止不会影响合同方未兑现的义务或应有的权利。
条款17-不管任何原因,如果顾问在完成义务的之前发生合同终止,将转交全部文档日期草案和客户,并将相应费用支付的客户。当合同终止时,任何支付给顾问的附加款项或者提前付款,必须在5营业日内退款给客户。
七、最终条款
条款18-全部通知、信件、应用或者任何其它通讯将采用书面形式;要求使用英语,通过传真传送或者在序言里指定的地址发出挂号信。
接受地址发生的任何变化,在当天必须通知另外一方,以免除更换地址承担的责任。
条款19-如果由于不可抗力造成无法履行或者延期,按照罗马尼亚法律的定义,对该处发生的义务延期执行,任何一方不负有全部责任或部分责任。
条款20-这份合同根据罗马尼亚法律解释。任何争论将必须经过友好协商解决,或者如果无法经过友好协商解决,将诉诸罗马尼亚的普通法庭解决。
条款21-当事人双方完全理解本合同并且和任何其它事先协定,书面文字或者口头协议。
条款22-本合同可以通过双方代表签署的追加条款进行修改。
条款23-当事人双方代表特此说明;授权签署本合同,并且当事人双方的代表通过合法登记,有权达成合同、享受权利和履行提供的义务。
条款24-当事人双方承认并认定下列附录为其组成部分下:
附加1 - 工程特性;
附加2 - 顾问提交的资料和信息;
附加3 - 顾问代表
本合同于2008 年_ 月 _ 日_, 有4个(4)对照文件,2个(两)英语对照文件和2个(两)用罗马尼亚语对照文件组成;双方的各执2个对照文件(一用罗马尼亚语的和一用英语)。当罗马尼亚语版本和英语版本发生冲突时,以罗马尼亚语版本为准。

DESIGN AND CONSULTANCY CONTRACT

The parties:
BEIJING URBAN CONSTRUCTION ENGINEERING & NIRO S.A., Romanian legal entity, having its registered head-office in Voluntari City, Şos. Afumaţi no. 13, Office no. 8, District Ilfov, registered in the Trade Registry under no. J23/315/2002, Fiscal Registration Code RO14492710, duly represented by Mr. Ilie Suba – General Manager, as Client, hereinafter referred to as the“Client “
and
BEIJING URBAN ENGINEERING DESIGN & RESEARCH INSTITUTE Co., Ltd., a legal entity incorporated under the laws of the People’s Republic of China with its registered business address at No.5 Fuchengmen North Street, Xicheng District, Beijing, the registry authority is Beijing Administration for Industry and Commerce, its registration number is 1100001057458, and its legal representative is Mrs. Wang Liping, as design consultant, hereinafter referred to as the ”Consultant”,
Hereinafter referred to as ”Party” and collectively as ”Parties”,
Whereas:
1. S.C. CENTRAL RESIDENTIAL PARK DOI S.A., Romanian legal entity with the headquarters in Bucharest, 13A Şos. Ştefan cel Mare, 2nd floor, office no.2, district 2, registered with the Trade Register under no. J40/1212/2006, Fiscal Registration Code no. RO18884163, in its capacity as a Beneficiary, intends to develop a construction project (the ”Project”) on the land located in 22A Expoziţiei Blvd., 1st District, Bucharest, having a total area of 4,040 sqm. (hereinafter referred to as the ”Land”), according to the characteristics detailed within the Annex 1 attached hereto, consisting of hotel and residential complex of block of flats of multiple functions (”the Building”); that shall be denominated „NIRO TOWER” ;
2. BEIJING URBAN CONSTRUCTION ENGINEERING & NIRO S.A was appointed General Contractor for the Project, having in this quality the right to enter into contracts in its own name;
3. The Consultant possesses the necessary logistics, know-how and qualified personnel and intends to offer the Client services consisting of realizing the Project’s conceptual design in the following fields: architecture, structure, resistance, general installations (sanitary, heating, air conditioning, electrical, low currents), exterior improvements, traffic planning (car parks, alleys, access roads), vertical planning, coordination of the inside systems against, as well as technical consultancy for the entire duration for implementing the Project, for the due retribution as agreed upon in Chapter III,
4. The project to the Construction’s authorization, the basic design (the “Basic Design”), the details design (the ”Details Design”) as well the compliance of the whole architectural project with the Romanian legislation shall be performed by a designer dully authorized according to the Romanian law (the “Romanian Designer”), appointed by the Client,
Have concluded this design and consultancy contract (hereinafter referred to as the “Contract”), under the following terms:
I. OBJECT OF THE CONTRACT
Article 1 Based on this Contract and according to the Client’s requirements and to the prices, terms and conditions provided herein, the Consultant undertakes to offer the Cient its services consisting of:
a. Conceptual project for the Building with an estimative 29,500 sq. m. gross area, consisting of hotel and residential apartments, developed with basements, ground floor and floors, sheltering parking, technical areas, according to the desired characteristics, as detailed in Annex 1 (the design theme shall, by observing the characteristics contained within Annex 1, provide optimum number of basements and floors as to maximize the usable Building surface on the Land and shall cover the following fields: architecture, structure, resistance, general installations (sanitary, heating, air conditioning, electrical, low currents), exterior improvements, traffic planning (car parks, alleys, access roads), vertical planning, coordination of the inside systems) and preparing and delivering to the Client the documentation related to the conceptual project stage, consisting of, but not limited to, written parts and schematic drawings, general characteristics of the Project that should illustrate the functional and technical relations among the Project’s components (“Conceptual Project”), respective:
1. Written Part -Project’ General Presentation;
2. Sketches -General Situation Plan;
- Architecture Plans;
3. Project Replica (scale 1:200)
as described in Appendix 2 to the present contract.
b. During the entire design phase, recommending, proposing and assisting in the selection and implementation of modern building solutions, technologies, materials and equipments, afferent but not limited to, the architecture, structure, resistance, general installations (sanitary, heating, air conditioning, electrical, low currents); the recommendations shall be made such as the total building costs for the implementation and performance of the Project shall be optimal; the Consultant shall recommend materials and equipments already certified or which may be certified within the EU markets (for the part of the hotel, the recommendations shall comply the international standards stipulated for a 4/5 stars hotel).
c. Cooperating with the Romanian Designer during all the design stages, including but not limited to building permit stage and execution details stage (Details Design stage);
d. Supervising the performance of services by the Romanian Designer for the compliance with the design theme and in order to ensure the usage of modern construction solutions and technologies, materials and equipment;
e. Technical assistance and consultancy during the entire implementation and performance period of the Project, until the moment of signing the protocol at the termination of the building works, and shall mainly refer to:
(i) translating and transposing the entire the Conceptual Project, as well as the Basic Design and Details Design in Chinese language; such transposing shall imply all procedures and tasks as for the Chinese personnel and/or contractors to be able to implement the Project and erect the Building in full accordance thereof. The Conceptual Project, Technical Project and the Execution Details shall be translated only for the works that represent the object of the performance of works with Chinese personnel and/or supply of materials imported from the People’s Republic of China, according to Client’ requests.
(ii) facilitating the performance by the Chinese contractors of construction works in full accordance with the Conceptual Project, Basic Design and Details Design;
(iii) monitoring the performance of the construction works on the site, by means of representatives nominated with the view of:
1. verifying the compliance of the construction works with the Conceptual Project, Basic Design and Details Design and drafting reports pursuant to such verifications, together with the Romanian Designer;
2. verifying the performance of the construction works within the time schedule agreed by the Client with the constructor and drafting reports pursuant to such verifications, together with the Romanian Designer;
(iv) maintaining a permanent contact between the Client’s Romanian consultants, designers and contractors, on one hand and the Chinese contractors, on the other hand, with the support of BEIJING URBAN CONSTRUCTION ENGINEERING & NIRO S.A;
(v) monitoring the compliance with the Project during its performance, scheduled on significant stages, at which times quality acceptance protocols are also concluded together with the Romanian Designer;
(vi) except for the mandatory supervision activities mentioned above, inspections on site at time intervals as agreed with the Client, for information in reports on the quality and conformity of the construction works with the Conceptual Design, Basic Design and Details Design, as requested by the Client. Notwithstanding, at the request of the Client and with a reasonable prior notice, the Consultant shall participate to inspections on site, together with the Romanian Designer.
Article 2 This Contract shall be carried out in three general stages as far as the services provided by the Consultant are concerned:
(a) Stage 1 – Drafting and delivering the Conceptual Project; Stage 1 shall be deemed as completed at the moment of full acceptance by the Client of all submitted materials; the Consultant shall deliver all documentation in such time frame as this stage to be completed not later than 1st August 2008;
(b) Stage 2 – Implementation of recommended modern building solutions, technologies, materials and equipments during the design phase, following the Client’s prior written approval; during this stage, the Consultant shall transmit all afferent technical documentation to the Client;
(c) Stage 3 – Supervising the Project implementation and works performance on site in order to ensure their strict accordance with the Conceptual Project, Basic Design and Details Design; in this respect, the Consultant shall (i) collaborate with the Romanian Designer for the latter to draft the project for the Construction’s authorization, Basic Design and Details Design, (ii) translate and transpose such documents for the immediate use and acknowledgment of the Chinese personnel and/or contractors; (iii) permanently assist the Chinese personnel and/or other contractors appointed by the Client; (iv) supervise on-site all the construction works and shall draft, together with the Romanian Designer, reports regarding the performance thereof.
II. DELIVERY
Article 3 The Consultant shall draft and deliver to the Client the documents and information as described in Appendix 2:
- written parts, consisting in architectural and structural description of the Building, providing as well the installations concept;
- schematic drawings, consisting in plans of each floor, in-section plans, façade and perspective views (covering all sides).
Article 4 All materials shall be delivered to the Client and to the Romanian Designer based on a hand over delivery protocol, in English language, in metric system (S.I.), both on hard copy and in electronic format (*.dwg), no later than 1st August 2008. Signing the hand over protocol, the Consultant and the Client shall acknowledge receipt of documents, the Client being entitled to issue its comments, observations or amendments within a term of 20 calendar days as of the date of signing the protocol.
Article 5 The delivery shall be deemed as completed and, consequently, Stage 1 terminated, on the moment the Client fully accepts all proposals submitted by the Consultant.
III. CONTRACT’S VALUE AND PAYMENT METHOD
Article 6 As per the structure of the services to be provided according to the provisions of the present contract and of it’s appendixes, the Contractual values have been agreed as per the following structure:
a. Conceptual project, including initial recommendation of matherials, equipment, technical solution and technologies: 170,128 EURO, to be paid:
- 30% down payment in maximum 5 working days from the date of signature of the contract;
- 30% within 5 working days from the date of the delivery of the Conceptual project’s full documentation;
- 20 % within 5 working days from date when the Consultant has presented his written conclusions on the Basic Design documentation issued by the appointed Romanian designer;
- 10% within 5 working days from from date when the Consultant has presented his written conclusions on the Detailed Design documentation issued by the appointed Romanian designer;
- 10% within 5 working days from the date of the official acceptance at the end of the construction works, being retained untill this moment as guarantee for the quality of the provided services;
b. Translation and transposing of Basic Design and Details Design documents into Chinese language for the immediate use and acknowledgment of the Chinese personnel and/or contractors, including detailed recommendation of matherials, equipment, technical solution and technologies : 149.801 euro, with the following structure on specialities:
- Foundation & infrastructure 10% of the amount
- Superstructure 30% of the amount
- Architecture 30% of the amount
- Instalation 30% of the amount, meaning 44,940 euro out of which :
40% Electrical
20% Water / sewerage
15% Heating
25% Ventilation
The amounts due for the provided services, as per the provisions of article 1e(i), shall be paid in maximum 5 working days from the receipt of the respective invoice
c. Visits for technical assistance, inspections and reports on site and at the Romanian design company, in Romania, based on a daily fee per person:
- Project director 554 euro / day / person
- Specialist designer 512 euro / day per person
- Designer 498 euro / day / person
The above agreed amounts are firm for the entire duration of the present contract.
The above agreed amounts include all costs for: round trip transportation, accommodation, meals, communication and the respective fees for the provided services during the visits.
The visits will be made upon the written order of the Client stating the duration of the visit, the number of persons and their affiliation to one of the above categories.
The calculation of the due amounts, for the visits in Romania of the above mentioned specialits, will be made taking into account the period from the date of arrival in Romania till the date of departure from Romania, inclusive.
The amounts due for the provided services shall be paid in maximum 5 working days from the receipt of the respective invoice.
Article 7 All the settlements for the services performed by the Consultant shall be made based on the fiscal invoices issued by the Consultant, in EURO. Until the date when the payment of the invoices is due, the Consultant submits to the Client a certificate of fiscal residency; should the Consultant not submit to the Client the aforementioned certificate, as mentioned above, from the payments due to the Consultant, the Client shall deduct and withhold the legal taxes, in accordance with the provisions of the Romanian Fiscal Code.
IV. PARTIES OBLIGATIONS
Article 8 The Consultant’s obligations :
(a) to perform the design works and the consultancy services as agreed herein;
(b) to present the drafted documentation to the Client and to the Romanian Designer and to remedy any identified lack of compliance and conformity, within maximum 5 days from the moment when such lack of compliance and conformity, was brought to its knowledge; the modifications requested by the Client shall be solved within maximum 5 days after these ones are communicated to it, provided that the above mentioned requests are not of essence.
(c) to review and amend, according to the latest techniques in industry and to its best knowledge, within a reasonable term, all plans, drawings and materials drafted by the Romanian Designer and submitted for its supervising by the Client;
(d) during the design phase, to deliver to the Client and the Romanian Designer all documents (including but not limited to certificates of origin, certificates of conformity and quality, technical data, etc.) for the recommended or suggested materials and/or equipments;
(e) to nominate and delegate in Bucharest representatives specialized on all construction categories in order to follow up performance of on-site works and to inform the Client of any potential constructional errors or differences between the actual works and the Conceptual Project, Basic Design and Details Design, according to Appendix 3;
(f) to maintain a permanent contact, to collaborate and to provide technical solutions to the Romanian Designer and to the contractors appointed by the Client for the entire duration of Construction implementation;
(g) to participate together with the Romanian Designer to the review stages as instructed by the Client, as well as to sign the documents drafted on these occasions; and
(h) to offer its full support in respect to any issues arisen by other consultants, designers or contractors appointed by the Client.
Article 9 The Client’s obligations:
(a) to provide the Consultant with the information required by design theme and Conceptual Project drafting; any delay in sending to the Consultant the information related to the design theme, shall lead to the adequate delay of the delivery term;
(b) to pay the Contract price according to the payment schedule above mentioned, under the prior and mandatory condition binding on the Consultant to duly perform its undertaken obligations;
(c) to intermediate and offer its full support with the view of easing the collaboration between the Consultant, on one hand, and the Romanian Designer and contractors, on the other hand;
(d) to allow Consultant’s representatives access to the premises for measurements and various experts examinations purposes; and
(e) to support the Consultant for the accomplishment of the formalities for obtaining the entrance visa for Romania.
V. CONTRACT LIABILITY
Article 10 The Consultant shall be liable for completing and delivering the documentation in the due time and on the Contract provided terms. If the Consultant does not deliver the documents in due time and according to the conditions settled by Contract, this one shall have to pay to the Client contracting penalties in the amount of 0.03% applied to the received advance amount, for each delay day.
If the Consultant observes all its obligations, the Client shall have to pay penalties in the amount of 0.03% of the outstanding amount for each delay day in case of infringing the term for the payment of the due invoice/invoices.
Article 11 The Consultant shall be liable for the quality and feasibility of the proposed technical solutions.
Article 12 Each Party is fully liable and shall indemnify the other Party for the damage caused by failing to perform or improper performance of the obligations undertaken herein.
VI. CONTRACT TERMINATION
Article 13 This Contract terminates in any of the following ways:
(a) upon Parties agreement;
(b) in case of bankruptcy, winding up or liquidation of any of the Parties;
(c) whenever a force majeure situation lasts longer than 30 calendar days, in this case the Parties being exonerted from the obligations stipulated by this Contract;
(d) on the date when the Parties would have fulfilled all their contractual undertakings; or
(e) by early termination requested by the affected Party, as provided for by Articles 14 and 15 below.
Article 14 This Contract is deemed terminated upon the Client sending the Consultant a notification, without notice of delay, Court’s involvement or any other prior proceeding (fourth degree resolutive clause), if the Consultant fails to fulfill any of its obligations incurred herein.
Article 15 This Contract can be terminated at the request of the Consultant, if the Client, provided that the Consultant has performed all its obligations deriving from the Contract in due time, fails to fulfill with more than 45 consecutive calendar days any of its payment obligations as scheduled in Article 6 above.
Article 16 Contract termination has no effect on the outstanding obligations or rights Parties are entitled to.
Article 17 In case Contract termination, regardless the reasons, occurs prior to Consultant fully accomplishing its obligations, it will hand over to the Client all the documentation drafted by that date and the Client shall pay for the corresponding costs. Any amount paid to the Consultant supplementary or in advance shall be reimbursed to the Client within 5 business days as of the termination date of the Contract.
VII. FINAL PROVISIONS
Article 18 All the notices, letters, applications or any other communications will be done in writing, in English language, and sent by fax or registered letter with acknowledgment of receipt to the addresses specified in the Preamble.
Any change occurred to these coordinates will be brought to the other Party’s knowledge on the same day, subject to the sanction of non-opposability of the change of address.
Article 19 Neither of the Parties will be held liable for total or partial non-performance or for late performance of the obligations incurred herein, providing that such non performance or late performance are due to force majeure situations, as defined by the Romanian law.
Article 20 This Contract will be governed and interpreted in accordance with the Romanian law. Any dispute will be settled amicably, or, if not possible, shall be settled by the Common Law Courts of Romania.
Article 21 This Contract represents the entire understanding of the Parties and supersedes any other prior agreement, written or verbal.
Article 22 This Contract can be amended only by addendum signed by both Parties representatives.
Article 23 Parties representatives hereby state that they have been duly appointed to sign the Contract and the Party each of them represents is validly registered and has powers to conclude the Contract, exercise the rights and fulfill the obligations it provides.
Article 24 The following Annexes are acknowledged by the Parties upon conclusion of the Contract and are an integral part thereof:
Annex 1 - Characteristics of the Project;
Annex 2 - Documents and information to be deliverde by the Consultant;
Annex 3 - Representatives of Consultant
This contract was concluded this day, ____._____.2008, in 4 (four) counterparts, 2 (two) counterparts in English and 2 (two) counterparts in Romanian, 2 counterparts (one in Romanian and one in English) for each party. In case of disagreements between the Romanian version and the English one, the Romanian version shall be the prior one.
