我们接受委托，审验了贵公司截至2008年9月3日止已登记的注册资本第2期实收情况。按照法律法规以及协议、章程的要求出资，提供真实、合法、完整、的验资资料，保护资产的安全、完整是全体股东及贵公司的责任。我们的责任是对贵公司注册资本的第2 期实收情况发表审验意见。我们的审验是依据“中国注册会计师审计准则第1602号——验资”进行的。在审验过程中，我们结合贵公司的实际情况，实施了检查等必要的审验程序。
We accepted the appointment to examine the installment of registered capital contribution of Northern Leiao Deguang Scientific and Technological Co., Ltd. of Yunnan as at September 3, 2008 in respect of its application for incorporation and registration. The responsibilities of all its investor(s) and the Company are to ensure that the capital contributions comply with the legal requirements of the relevant laws, regulations, agreements, contracts and articles of association; to provide true, legitimate and complete information for the verification of capital contributions and to safeguard the Company’s assets. Our responsibility is to express an opinion on the [second] installment of capital contribution in accordance with the “Statement of Independent Auditing Practices of China No.1602: Verification of Capital Contribution”. In the course of our examination, we performed examination procedures as we considered necessary in the circumstances.
根据关协议、章程的规定，贵公司申请登记的注册资本为人民币200，000，000.00元，应由全体股东分2期于2008年7月31日之前缴足。本次出资为第2 期，出资额为人民币119,000,000.00元，由昆明物理研究所，云南省投资控股集团有限公司，西安电子工程研究所，云南冶金集团总公司，中国北方车辆研究所，西安现代控制技术研究所和西安近代化学研究所于2008年7月31日之前缴足。经我们审验，截至2008年9月3日止，贵公司已收到昆明物理研究所，云南省投资控股集团有限公司，西安电子工程研究所，云南冶金集团总公司，中国北方车辆研究所，西安现代控制技术研究所和西安近代化学研究所缴纳的第2期出资，即本期实收注册资本人民币119,000,000.00元（大写：壹亿壹仟玖佰万元正），贵公司新增实收资本119,000,000.00元（大写：壹亿壹仟玖佰万元正）。各股东以货币出资119,000,000.00元。
