1、甲方
（1）甲方负责BT项目的前期准备咨询服务工作，组织协调勘测、设计、监理等各方面工作，统一向“蛟河天岗石材开发区”领取工程开工证和技术文件按时提供给各施工单位；（2）合同生效后，双方会同政府对乙方去年的尾巴工程进行接收，对今年的工程进行组织，甲方作为二业主拥有乙方及其劳务分包方在天岗石材园区路（管）网工程的所有权；（3）在项目建设期间，帮助乙方做好与市政府各行政管理部门的沟通和协调工作，并参与施工图审查、项目施工期间的监督、检查和管理；（4）甲方指定并授权代表负责现场隐蔽工程验收、设计变更等现场签证工作，以便作为结算依据；（5）工程结算由甲方根据乙方编制工程预算书,审核调整后负责与“蛟河天岗石材开发区” 进行路(管)网工程的结算。
2、乙方
（1）严格按照国家法律法规、当地政府的有关规定及“蛟河天岗石材开发区”下达的施工任务书,按照设计的要求，编制施工组织设计或施工方案，负责组织该项目的施工，并按月向甲方及监理报送工程的月度施工计划、工程量统计、技术、质量等有关报表、工程结算由乙方先编制工程预算书报甲方审核；（2）接受政府各行政职能部门及甲方、监理对BT项目施工建设的管理和监督，确保工程质量和工期；（3）乙方应做到安全生产、文明施工，在施工过程中发生的人员伤亡及质量事故均由乙方承担，甲方不承担任何责任；（4）如工程施工质量问题，乙方自行承担相应的责任，若有验收不合格项，由乙方返工或修理，直至达到合格标准，并负担全部返修费用；（5）乙方负责与各劳务分包施工单位间的协调和管理工作，及时支付各劳务分包施工单位的相关费用，及时发放工人工资，不得托欠，因拖欠各施工方费用引起的各种纠纷，责任自负；甲方不承担任何责任。
八、为了更好地执行本协议，甲方指定或在当地设立国内公司作为甲方执行主体全权代表甲方执行本协议，并履行相关责任与义务。
九、未尽事宜，双方面议。本合同在履行过程中发生争议时，双方协商解决，协商不成时，任何一方向上海市人民法院起诉。
十、本协议自双方签字盖章后，需待甲方与蛟河市政府签定BT合同生效后再生效，如果甲方不能与政府签定BT合同则本协议视为无效。
十一、本协议一式四份，双方各执二份。

2, Party B
( 1) Strictly according to national laws and regulations, about regulation and " Jiaohe River day stone material development zone of hillock " construction task book assigned local government, according to the request designed, work out and construct to organize the design or construction scheme , is responsible for organizing the construction of this project, and and manage the monthly construction plan of sending the project to Party A monthly, project amount statistics , technology , quality relevant report form , project is it work out by Party B project budget books and newspapers Party A verify first to close; ( 2) Accept every administrative functional department and Party A of the government , manage the control over project construction of BT and supervision, guarantee project quality and time limit for a project; ( 3) Party B should make sure that the safety in production , civilization construct , the casualties taking place in the course of constructing and quality accident are undertaken by Party B , Party A does not bear any responsibility ; ( 4) Such as the construction quality problems of the project, Party B bears corresponding responsibility by oneself , if confirm one not up to standard, done over again or repaired by Party B , until reaching the qualified standard, and afford and all reprocess the expenses; ( 5) Party B is responsible for with the coordination and management among the subcontracting units in charge of construction of every labor service, pay the relevant expenses of a subcontracting unit in charge of construction of every labor service in time, grant worker's salary in time, can't is it owe to ask, arising from in arrears with the square expenses of every constructioning various kinds of dispute, conceited responsibility have; Party A does not bear any responsibility .
Eighth, in order to carry out an agreement better, Party A appoints or sets up domestic corporation to act as plenipotentiary of Party A and carry out an agreement as Party A carry out the main body in the locality, and fulfil relevant responsibility and obligation.
Ninth, unaccomplished matter, discuss on both side. Contract this when dispute in the course of fulfilling, both sides resolve through consultation, while resolving through consultation, either party brings a suit before people's court of Shanghai.
Tenth, an agreement have been since both sides sign and stamp, need to come into force after Party A signs BT contract with government of Jiaohe River and comes into force, if Party A can't sign BT contract with government an agreement is regarded as invalid.
11, This agreement is done in quintuplicate,each side hold two copy.
